Aegis Logistics sells Pipavav LPG terminal to Aegis Vopak Terminals

Aegis Logistics Ltd announced that it had executed a Business Transfer Agreement (BTA) with its associate, Aegis Vopak Terminals Limited (AVTL), to transfer its newly commissioned LPG cryogenic terminal at Pipavav. The transaction, completed on 10th July, 2025, was structured as a slump sale on a going-concern basis. The Pipavav LPG terminal, with a storage capacity of 48,000 metric tonnes, was commissioned on 3rd July, 2025. Since it became operational after 31st March, 2025, it didn’t contribute to the company’s turnover or net worth for that financial year.

Aegis Logistics sold the terminal to Aegis Vopak Terminals for Rs 428.4 crore in cash. Although it’s a related-party transaction, the deal was conducted on an arm ’s-length basis. Therefore, it doesn’t fall under a Scheme of Arrangement or qualify as an “undertaking” under the SEBI LODR rules.

The company stated that the move is aimed at consolidating LPG operations under Aegis Vopak. This will enhance synergies and meet the rising demand at Pipavav Port. There’s no change in the company’s shareholding pattern due to the transfer.
